Last updated: 23 December 2025 These Terms of Service (“Terms”) govern your access to and use of Monorail App (mnrl.app) and any related services (collectively, the “Service”) provided by Numont Abell Ltd (“Numont Abell”, “we”, or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. 1. Eligibility and Accounts You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it up to date. 2. Use of the Service You may use the Service only in compliance with these Terms and all applicable laws and regulations. You may not: Reverse engineer, decompile, or attempt to derive the source code of any part of the Service. Access the Service using automated means (such as bots or scrapers) except as expressly permitted by us. Interfere with or disrupt the integrity or performance of the Service, including imposing an unreasonable load on our infrastructure. Use the Service for any purpose that is unlawful, harmful, deceptive, or fraudulent, including but not limited to scams, spamming, harassment, or distribution of malware. We may impose technical limits (such as rate limits, usage caps, and credit systems) and may modify or enforce them at our discretion. 3. AI‑Generated Content The Service may generate text, images, audio, code, or other outputs based on your prompts (“AI Content”). AI Content is generated automatically and may be inaccurate, incomplete, misleading, or otherwise unreliable. You are solely responsible for reviewing, evaluating, and using AI Content, including for any decisions you make based on it. You are responsible for ensuring that your use of AI Content complies with all applicable laws (including intellectual property, privacy, and consumer protection laws) and with these Terms. You may not use AI Content to: Create or disseminate illegal content, including content that promotes violence, exploitation, or terrorism. Generate non‑consensual intimate imagery or impersonate individuals in a deceptive or harmful way. Provide medical, legal, financial, or other regulated professional advice without appropriate qualifications and human oversight. 4. Your Content and License to Us You may submit prompts, uploads, data, or other content to the Service (“User Content”). You retain any ownership rights you have in your User Content. You grant Numont Abell a worldwide, non‑exclusive, royalty‑free license to use, reproduce, display, perform, modify, and create derivative works from your User Content and AI Content solely as necessary to: Provide and maintain the Service; Improve the Service’s performance, safety, and reliability; and Comply with law and enforce these Terms. You represent and warrant that you have all rights necessary to submit User Content and to grant this license, and that your User Content does not violate any third‑party rights or applicable law. 5. Plan Types, Credits, and Billing Access to the Service may be provided via free trials, subscription plans, and one‑time “top‑up” or booster purchases (“Plans”). Plan details, including features, credit allowances, and pricing, are described on our website and may change from time to time. “Credits” are a unit of measure for using certain features (for example, generating AI content or images). Credits have no cash value, are not legal tender, and are non‑transferable except as we expressly permit. Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the then‑current rate. You may cancel renewal at any time through your account settings; cancellation will take effect at the end of the current billing period. You authorize us and our payment processors to charge your payment method for all applicable fees, taxes, and charges associated with your account. 6. Prohibited Uses You agree not to use the Service to: Violate any applicable law or regulation. Infringe, misappropriate, or violate intellectual property, privacy, publicity, or other rights of others. Generate or disseminate: Hate speech or content that promotes discrimination or violence against individuals or groups. Explicit sexual content involving minors, or any content that sexualizes minors. Content that is intentionally deceptive in a way that could cause material harm (including deepfakes used for fraud or political manipulation). Engage in activities that compromise security, including probing, scanning, or testing the vulnerability of systems without authorization. Bypass or circumvent any security or usage controls implemented in the Service. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or pose a risk to the Service, us, or others. 7. Intellectual Property The Service, including all software, interfaces, designs, and underlying models, is owned by Numont Abell or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no licenses or rights are granted to you by implication or otherwise. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices on or within the Service. 8. Privacy Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that we will collect and use information as described in the Privacy Policy and in accordance with applicable data protection laws. You are responsible for providing any notices and obtaining any consents necessary for us to process personal data that you submit to the Service. 9. Third‑Party Services The Service may integrate with or rely on third‑party services, APIs, or models. Those third‑party services are subject to their own terms and policies, and Numont Abell is not responsible for their content or practices. Your use of such third‑party services is at your own risk, and we may change or discontinue integrations at any time. 10. Beta Features and Changes to the Service We may offer early‑access, experimental, or beta features. These features may be provided “as is”, may be subject to additional terms, and may be modified or discontinued at any time. We may update or change the Service (including features, models, limits, and interfaces) from time to time. Where changes are material and negatively affect your use of the Service, we will make reasonable efforts to notify you. 11. Disclaimers THE SERVICE AND ALL AI CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. NUMONT ABELL SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE. 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMONT ABELL AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 13. Indemnification You agree to indemnify, defend, and hold harmless Numont Abell and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: Your use of the Service or AI Content; Your User Content; or Your violation of these Terms or applicable law. 14. Suspension and Termination You may stop using the Service at any time and may request account closure through your settings or by contacting us. We may suspend or terminate your access to the Service, or remove or disable access to any content, at our discretion if we reasonably believe: You have violated these Terms or applicable law; Your use poses a security or legal risk; or Your use could cause harm or liability to us or others. Upon termination, your right to use the Service will cease, but the following sections will survive: 3, 4, 5 (regarding fees already due), 7, 8, 11, 12, 13, and 16. 15. Changes to These Terms We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, where required by law or where changes are material, we will provide additional notice (for example, via email or in‑product notifications). By continuing to use the Service after the revised Terms take effect, you agree to be bound by the updated Terms. 16. Governing Law and Dispute Resolution These Terms are governed by the laws of the jurisdiction in which Numont Abell Ltd is incorporated, without regard to its conflict of laws rules. Any disputes arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in that jurisdiction, and you and Numont Abell consent to the personal jurisdiction of those courts. Before filing any formal action, both parties agree to attempt to resolve the dispute informally for at least 30 days. 17. Miscellaneous If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. No waiver of any provision will be effective unless in writing and signed by us. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with any referenced policies (including the Privacy Policy and Refund Policy), constitute the entire agreement between you and Numont Abell regarding the Service. 18.
