Definitions “Platform” means all software, applications, APIs, websites, and infrastructure operated by Monorail AI Ltd. “Services” means all AI-powered tools, features, outputs, and related services made available through the Platform. “User” or “you” means any individual or legal entity accessing or using the Platform. “Content” means any input, prompt, data, text, images, audio, video, code, or other material submitted to or generated through the Platform. “Output” means any content generated by the Services based on User input. “Third-Party Providers” means external service providers including but not limited to OpenAI, Anthropic, and ElevenLabs. --- 2. Acceptance of Terms By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms. If you do not agree, you must not access or use the Services. --- 3. Eligibility You must be at least 18 years old and legally capable of entering into binding contracts. You must not use the Services if you are prohibited under applicable laws or sanctions regimes. We reserve the right to refuse access to any User at our discretion. --- 4. Nature of the Services The Platform provides access to artificial intelligence systems operated by Third-Party Providers. Monorail AI Ltd does not develop, train, or control the underlying AI models. We act solely as an intermediary technology provider facilitating access to such systems. We do not guarantee: * accuracy, reliability, or quality of outputs * continuous availability of Services * suitability of outputs for any purpose --- 5. Account Registration and Responsibility You agree to provide accurate, current, and complete information when registering. You are solely responsible for: * maintaining the confidentiality of your credentials * all activities conducted through your account * any actions taken using your API keys or integrations We may suspend, restrict, or terminate accounts at any time, including for suspected misuse, fraud, or security concerns. --- 6. Acceptable Use and Restrictions You agree not to use the Platform to: * violate any applicable law or regulation * generate or distribute unlawful, harmful, abusive, defamatory, or misleading content * engage in fraud, impersonation, or deceptive practices * infringe intellectual property, privacy, or data protection rights * generate content intended to exploit, harass, or harm individuals or groups * bypass safeguards, rate limits, or security controls * reverse engineer, scrape, or extract underlying models or datasets * use automated scripts or bots in a manner that disrupts the Platform * resell, sublicense, or redistribute the Services without authorization * use the Platform for high-risk or regulated activities without appropriate safeguards High-risk activities include but are not limited to medical advice, legal advice, financial decision-making, safety-critical systems, and automated decision-making impacting individuals. --- 7. AI Output and Risk Allocation Outputs are generated probabilistically and may be inaccurate, incomplete, biased, or misleading. You acknowledge that: * Outputs do not constitute professional advice * Outputs must be independently verified before reliance * Use of Outputs is entirely at your own risk You assume full responsibility for any decisions, actions, or consequences arising from use of Outputs. Monorail AI Ltd shall have no liability for any loss or damage arising from reliance on Outputs. --- 8. Third-Party Dependencies The Platform relies on Third-Party Providers. You acknowledge that: * Services may be interrupted, degraded, or unavailable due to third-party failures * Third-Party Providers may change their services, pricing, or policies at any time * your use may also be subject to their terms and conditions We are not responsible for the acts, omissions, or performance of Third-Party Providers. --- 9. Fees, Billing, and Payment Services may be offered on a subscription, usage-based, or credit-based model. You agree to: * pay all applicable fees and charges * provide valid payment information * remain responsible for all usage under your account Credits: * may expire * are non-refundable and non-transferable unless required by law * have no cash value We reserve the right to: * change pricing at any time with reasonable notice * suspend or terminate access for non-payment * charge for overages or excess usage --- 10. Usage Limits and Fair Use We may impose limits including: * request rate limits * token or usage caps * storage limits These limits may be enforced automatically. We may throttle, restrict, or suspend usage that is excessive, abusive, or impacts system stability. --- 11. Intellectual Property Rights You retain ownership of your Content and Outputs, subject to applicable law and third-party terms. You grant Monorail AI Ltd a worldwide, non-exclusive, royalty-free license to: * host, process, transmit, and display Content * provide, maintain, and improve the Services * enforce these Terms and prevent abuse We retain all rights in and to the Platform, including all software, designs, systems, and branding. No rights are granted except as expressly stated. --- 12. Data Handling and Processing We process data in accordance with our Privacy Policy. You acknowledge that: * data may be processed in multiple jurisdictions * data may be shared with Third-Party Providers * logs may be retained for security, billing, and operational purposes You are responsible for ensuring you have lawful rights to submit any Content to the Platform. --- 13. Confidentiality and Sensitive Data You agree not to submit confidential, sensitive, or regulated data unless you have appropriate safeguards and legal basis. We do not guarantee confidentiality of Content unless explicitly agreed in writing. The Platform is not intended for processing: * personal health data * financial account data * highly sensitive personal information --- 14. Service Availability and Support The Platform is provided on an “as is” and “as available” basis. We do not guarantee uptime, availability, or error-free operation. We may: * perform maintenance at any time * modify or discontinue features * introduce or remove functionalities Support is provided at our discretion unless otherwise agreed. --- 15. Beta and Experimental Features We may provide features labeled as beta or experimental. Such features: * may be incomplete or unstable * may change or be removed at any time * are provided without warranties or guarantees Use of such features is at your own risk. --- 16. Suspension and Termination We may suspend or terminate your access immediately if: * you breach these Terms * your use creates risk or harm * required by law or regulation * necessary to protect the Platform or other users We may also terminate accounts for inactivity or commercial reasons. Upon termination: * your access will cease * your data may be deleted without obligation to retain it --- 17. Disclaimers To the fullest extent permitted by law: * the Services are provided without warranties of any kind * we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement * we do not warrant that the Services will meet your requirements or expectations --- 18. Limitation of Liability To the maximum extent permitted by law: * we shall not be liable for indirect, incidental, consequential, or punitive damages * we shall not be liable for loss of profits, revenue, data, or business opportunities Our total aggregate liability shall not exceed the total amount paid by you in the 12 months preceding the claim. --- 19. Indemnification You agree to indemnify and hold harmless Monorail AI Ltd, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from: * your use of the Platform * your Content or Outputs * your violation of these Terms * your violation of any law or third-party rights --- 20. Force Majeure We are not liable for any failure or delay resulting from events beyond our reasonable control, including: * internet or infrastructure failures * third-party service disruptions * natural disasters * government actions or restrictions --- 21. Assignment You may not assign or transfer your rights or obligations without our prior written consent. We may assign or transfer our rights and obligations without restriction. --- 22. Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. --- 23. Entire Agreement These Terms constitute the entire agreement between you and Monorail AI Ltd regarding the Services and supersede all prior agreements. --- 24. Governing Law and Jurisdiction These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. --- 25.
